Terms of Service Contract for Website

1. Parties Involved

Provider: Interactive Online Corporation (“Provider”)

Client: [Client Name] (“Client”)

By completing checkout and submitting payment, Client agrees to the terms set forth in this Agreement.

2. Scope of Services

  • ➡️ Deliver a pre-made home services website built on WordPress using the Divi theme.
  • ➡️ Customize the site with Client’s logo, brand colors, company name, contact details, images, and service information.
  • ➡️ Configure key features such as mobile responsiveness, click-to-call, spam-protected contact form, and on-page SEO setup (titles, descriptions, headers, internal linking).
  • ➡️ Provide integration with third-party client management systems (e.g., Jobber, Housecall Pro, ServiceTitan, or similar platforms used in home service industries).
  • ➡️ Provide setup and connection to Google Analytics, Google Search Console, and SSL security.
  • ➡️ Provide ongoing hosting, support, and maintenance depending on the chosen plan.

Important: This is not a custom website development service. The site is based on a pre-made template. Any additional features, custom coding, or complex redesigns require a separate agreement.

3. Timeline & Process

  • ➡️ Client supplies required materials (logo, business details, contact info, services, images).
  • ➡️ Provider develops the site on its own servers.
  • ➡️ Branding and details are applied.
  • ➡️ Client reviews and may request revisions within the included scope.
  • ➡️ Upon approval, Provider launches the site under Client’s domain.

Estimated timeline: just a few days after receiving all materials. Delays in submission of materials or revisions may extend delivery.

Note: In our workflow, “few days” means 2 to 5 business days after we receive all required materials and access. Waiting on missing items, approvals, or third-party services can extend delivery.

4. Hosting & Ownership Terms

Monthly Plan

  • ➡️ Hosting and email services included.
  • ➡️ Client does not own the website during the subscription. Ownership transfers only after 12 full months of payments.
  • ➡️ Transfers are not available for 12 months.

Yearly Plan

  • ➡️ Hosting and email services included.
  • ➡️ Client does not own the website during the yearly subscription term. Transfers are not available while on this plan.

Lifetime Plan

  • ➡️ Includes 1 year of free managed hosting.
  • ➡️ After the first year, the Client may:
    • – Continue Managed Hosting: $897 per year
    • – Switch to Unmanaged Hosting: $348 per year
    • – Move the site to another provider
  • ➡️ Client owns the website immediately after purchase.

General Rule: The website must remain on Provider’s servers while under an active hosting plan. Transfers to outside providers are only permitted under the Lifetime Plan after the first included year.

Important: If Client chooses to move the website to another hosting provider, Provider is not responsible for migrating or reinstalling the site on third-party servers. Any such transfer must be handled by the Client or their chosen hosting provider.

5. Ongoing Maintenance & Support

Provider’s managed hosting includes:

  • ➡️ WordPress core, theme, and plugin updates
  • ➡️ Daily backups with quick restores
  • ➡️ Security monitoring and malware scans
  • ➡️ Uptime monitoring
  • ➡️ SSL installation and performance tuning
  • ➡️ Up to 6 hours per year of content edits, updates, or adjustments

Requests outside of this scope (new pages, redesigns, advanced integrations) may require additional fees.

6. Client Responsibilities

  • ➡️ Provide accurate and timely materials (branding, text, images, etc.).
  • ➡️ Ensure all provided content is legally owned or licensed.
  • ➡️ Approve or provide feedback within the requested timelines to avoid delays.
  • ➡️ Maintain access to required third-party accounts (Google, Jobber, etc.) if integrations are requested.

7. SEO & Performance Expectations

  • ➡️ Provider configures the website following recognized SEO best practices for on-page optimization, including proper use of titles, meta tags, headers, image alt text, internal linking, and schema markup where applicable.
  • ➡️ While the website is SEO-optimized, Provider makes no guarantee that it will pass validation by automated SEO scoring tools or third-party checkers. These tools often produce inconsistent or inaccurate results because they use different algorithms and may flag items that are not actual issues or that depend on context.
  • ➡️ Search engine rankings and visibility depend on many factors outside the Provider’s control, including competition, search engine algorithm updates, external backlinks, content updates, and the Client’s own marketing efforts. Provider cannot guarantee placement or ranking in Google or other search engines.

8. API Access & Usage

  • ➡️ The website may include integration with third-party APIs, including the OpenAI API for chatbot or automation features.
  • ➡️ Under the Monthly and Yearly plans, Provider covers the cost of OpenAI API usage as part of the managed hosting and service package.
  • ➡️ Under the Lifetime Plan, OpenAI API usage is included for the first year only.
  • ➡️ After the first year, or if Client chooses to host elsewhere, all API-related costs (OpenAI API, plugin licenses, or similar external services) become the responsibility of the Client. Provider is not responsible for payment, renewal, or management of third-party API accounts or plugin subscriptions.
  • ➡️ If Client fails to maintain API subscriptions or credits, related features such as chatbots or automation tools may cease functioning. Provider bears no liability for such interruptions.

9. Payment, Billing & Renewals

  • ➡️ Monthly and yearly plans automatically renew unless cancelled prior to renewal.
  • ➡️ Lifetime plan is a one-time payment, with hosting billed annually after the first included year if Client stays on Provider’s servers.
  • ➡️ Late payments may result in suspension of service. A 15 percent late fee per month may be applied.

10. Cancellation & Refunds

  • ➡️ Monthly Plan: Client may cancel future payments at any time. Website ownership transfers only after 12 full months.
  • ➡️ Yearly Plan: Non-refundable after 7 days from launch. Cancelling early forfeits hosting and site access.
  • ➡️ Lifetime Plan: Non-refundable after 7 days. Hosting continues for 1 year, after which the Client must choose one of the hosting options listed above.

Provider may suspend or terminate services for non-payment, misuse, or violation of this Agreement.

11. Intellectual Property & Rights

  • ➡️ Client retains ownership of all text, images, and content provided by Client.
  • ➡️ Provider retains rights to proprietary coding, frameworks, and trade secrets used to build and host the website.
  • ➡️ For Lifetime Plan owners, the delivered website (WordPress installation, theme, content, and files) becomes the Client’s property after the included year of hosting is completed.

12. ADA Compliance

  • ➡️ Provider makes reasonable efforts to follow ADA accessibility best practices in the design and development of the website.
  • ➡️ While Provider takes steps to ensure accessibility, no guarantee is made that the website will fully comply with all ADA, WCAG, or other accessibility guidelines or pass automated accessibility testing tools.
  • ➡️ Provider cannot be held responsible for any claims, penalties, or legal actions related to ADA or accessibility compliance.
  • ➡️ It is the Client’s responsibility to periodically review the website for accessibility compliance and to request additional accessibility audits or services if required.

13. Limitation of Liability

  • ➡️ Provider is not responsible for any loss of business, revenue, or damages resulting from website downtime, coding errors, technical failures, or third-party service interruptions.
  • ➡️ Provider is not liable for accessibility issues, including but not limited to non-compliance with ADA or WCAG standards.
  • ➡️ Provider is not responsible for broken features, software conflicts, plugin errors, or other technical malfunctions once the website is live, except where covered under active managed hosting support.
  • ➡️ Client agrees that Provider’s maximum liability, under any cause of action, is strictly limited to the total amount paid by Client to Provider under this Agreement.
  • ➡️ This limitation of liability is intended to be legally binding and enforceable to the fullest extent permitted by law.

14. Good Faith & Mutual Cooperation

  • ➡️ Each party represents and warrants to the other that it has acted in good faith and agrees to continue to do so in the negotiation, execution, delivery, performance, and any termination of this Agreement.
  • ➡️ Provider agrees to use its best efforts to fulfill and exceed Client’s expectations for deliverables. Client agrees to cooperate by supplying needed information, materials, and timely feedback to enable Provider to complete the work as efficiently as possible.

15. Confidentiality

Both parties agree to keep confidential any non-public information shared during this engagement, excluding information already public or legally obtained elsewhere.

16. Indemnification

Client agrees to indemnify and hold Provider harmless from any third-party claims related to Client’s website content, business practices, or use of third-party tools and services.

17. Governing Law

This Agreement is governed by the laws of the State of Florida. Any disputes will be handled in Pasco County, Florida.

18. Acceptance

By completing purchase and payment, Client agrees to these Terms of Service and acknowledges understanding of all ownership, hosting, SEO, API usage, ADA compliance, liability limitations, support, and maintenance conditions.
